These terms
These terms are a contract between you (or the organisation you act for) and ETHERNECO LTD, a company registered in England and Wales under company number 14648043, whose registered office is at The Accountancy Partnership, 70 Grange Road East, Wirral, United Kingdom, CH41 5FE ("we", "us", "ETHERNECO").
They apply as soon as you use this website, create an account, install the host agent or join a session. If you do not accept them, do not use the Service. If you accept them for an organisation, you confirm you are authorised to bind it.
Where we have signed a separate written agreement with you — an order form, a licence agreement, a data processing agreement — that agreement wins wherever it conflicts with these terms.
Definitions
- Service
- The etherRemote AI website, the hosted gateway at
remote.etherneco.com, the web viewer, the host agent and any related software or documentation we make available. - Hosted Service
- The deployment of the Service that we operate and run for you.
- Self-Hosted Deployment
- A deployment of the Software that you install and operate on infrastructure you control.
- Software
- The gateway, host agent, viewer and any other executable or source we license to you.
- Host Machine
- A computer running the host agent, which a viewer can connect to.
- Session
- A live connection between a viewer and a Host Machine.
- Your Content
- Everything that passes through or is stored by the Service on your behalf: screen content, keystrokes, clipboard data, transferred files, chat messages, machine names and account details.
What we provide
etherRemote AI lets an authorised person view and control a Host Machine from a browser over peer-to-peer WebRTC, with screen sharing, clipboard exchange, file transfer, session chat and an AI copilot.
We provide it in two ways. On the Hosted Service we run the gateway and are responsible for its operation. In a Self-Hosted Deployment you run it, you are responsible for its operation, security and availability, and we have no access to it or to the data in it.
The Service is under active development. Features are added, changed and occasionally removed. Anything we label preview, beta or experimental is provided for evaluation, may be unstable, and may be withdrawn without notice.
Accounts
- Registration on the Hosted Service is by invitation only. An invite code is personal to the person we issued it to.
- You must be at least 18 and give accurate registration details, and you must keep them current.
- You are responsible for everything done under your account. Keep your password, passkey, two-factor device, machine enrolment keys and Quick Share links secure, and do not share your credentials.
- Enable two-factor authentication if your account can reach machines that matter. We strongly recommend it.
- Tell us immediately at [email protected] if you suspect unauthorised access.
- One person per account. Shared logins defeat the audit trail and are not permitted.
Software licence
The Software is proprietary and is licensed, not sold. Subject to these terms and to payment of any fees due, we grant you a non-exclusive, non-transferable, revocable licence to install and use the Software for your own internal business purposes, for the term of your subscription or agreement.
You must not:
- copy, publish, sell, rent, sublicense or otherwise distribute the Software;
- reverse engineer, decompile or disassemble it, except to the extent that applicable law expressly permits despite this restriction;
- remove or obscure any copyright, trade mark or other proprietary notice;
- use it to build a competing product, or make it available to third parties as a service;
- circumvent licence keys, usage limits or access controls.
Acceptable use
This is remote-access software. Misusing it is not a terms violation in the abstract — in most countries it is a criminal offence. You must not use the Service to:
- access any computer you are not authorised to access. You need the informed permission of the owner, and of whoever is using it, for every Host Machine you connect to;
- deceive anyone into granting you access — impersonating support staff, a bank, a courier, a government body or a colleague; running any form of technical-support, refund or romance scam;
- install, spread or operate malware, spyware, ransomware, keyloggers or stalkerware, or monitor a person covertly;
- access, copy or exfiltrate data you have no right to, or use the file-transfer or clipboard features to move stolen material;
- break any law, or infringe anyone's intellectual property, privacy or other rights;
- attack, probe, overload or attempt to gain unauthorised access to the Service or anyone else's infrastructure, or bypass its rate limits, authentication or permission model;
- resell, sublicense or provide the Hosted Service to third parties without our written agreement;
- use the Service where failure could cause death, personal injury or severe environmental or property damage — it is not designed or certified for life-support, aviation, nuclear, medical-device or other safety-critical use.
You must also not put the Service under a load that degrades it for others, and you must comply with any documented rate or capacity limits.
We do not monitor the content of Sessions, and we cannot: the media is encrypted between the endpoints. That does not make it your private matter — it makes enforcement dependent on reports and on the audit record. Report abuse to [email protected].
Your responsibility for remote access
You decide who connects to what. We provide the mechanism; the authority to use it is yours to establish. In particular you are responsible for:
- obtaining consent from the owner and the user of every Host Machine before you connect, and telling them what you will be able to see and do;
- having a lawful basis under data protection law for anything personal you see, take or change on a machine, and for informing the people concerned;
- granting only the permissions a task needs — view, control, clipboard, file transfer and elevation are separate for a reason;
- Quick Share links you create: anyone holding a valid link can join, so scope and revoke them accordingly;
- the accounts you share a machine with, and removing that access when it is no longer needed;
- your own backups. Remote control makes destructive mistakes easy, and we cannot undo them.
Availability and support
We work to keep the Hosted Service available and will normally give advance notice of planned maintenance. Unless we have signed a service level agreement with you, the Hosted Service is provided without any uptime commitment, and we may suspend it for maintenance, security or capacity reasons.
Support is provided by email at [email protected] during UK business hours, on reasonable-endeavours terms, unless your agreement says otherwise.
The Service depends on your network, your browser, your operating system and the public internet. Peer-to-peer connectivity in particular can be blocked by firewalls and network policies outside our control.
Fees
Where the Service is provided for a fee, the amount, currency, billing period and payment terms are those set out in the order form, quotation or subscription page you accepted. Unless stated otherwise, fees exclude VAT and other taxes, which you pay in addition at the applicable rate.
Invoices are payable within 14 days. Late payment may attract interest and costs under the Late Payment of Commercial Debts (Interest) Act 1998, and we may suspend the Service until the account is settled. Fees already paid are non-refundable except where the law requires otherwise or we have agreed otherwise in writing. We may change prices on 30 days' notice, effective from your next renewal.
Intellectual property
All intellectual property rights in the Service — the Software, the website, the documentation, the design and the etherRemote and ETHERNECO names and logos — belong to ETHERNECO LTD or its licensors. Nothing in these terms transfers any of them to you beyond the licence in section 5.
If you send us feedback, ideas or suggestions, we may use them freely and without obligation to you. We will not identify you as their source without your agreement.
Your data
Your Content remains yours. You grant us only the licence we need to operate the Hosted Service for you — to receive, store, transmit and display it for that purpose, and for no other.
How we handle personal data is set out in the Privacy Policy. Where we process personal data on your behalf as a processor, we do so on your documented instructions; ask us for a data processing agreement if you need one on file.
You are responsible for the legality of Your Content and for having the right to put it through the Service. We do not record Sessions, and we do not keep a copy of your screen content.
Third-party components
The Software includes open-source and third-party components, each under its own licence. Those licences govern the components they cover and, where they conflict with section 5, they prevail for that component. A list of components and licences is available on request.
The Service also relies on third-party infrastructure — hosting, network protection, email delivery, identity — and we are not responsible for outages or acts of those providers beyond our reasonable control.
Suspension and termination
You may stop using the Service at any time and ask us to close your account. Unless your agreement fixes a term, either party may terminate on 30 days' written notice.
We may suspend or terminate your access immediately if:
- you materially breach these terms — section 6 above all — and, where the breach can be fixed, do not fix it within 14 days of us asking;
- we reasonably believe the account is being used for unauthorised access, fraud or another criminal purpose, or that continuing endangers other users;
- fees remain unpaid after we have asked for them;
- we are legally required to.
Where the reason permits it we will tell you first. On termination your licence ends and you must stop using the Software. We will delete your account data as described in the Privacy Policy; ask us before termination if you need an export. Sections 10, 11, 14, 15, 16, 17, 21 and 22 survive termination.
Warranties and disclaimers
We warrant that we will provide the Hosted Service with reasonable skill and care. Beyond that, and to the fullest extent the law allows, the Service is provided "as is" and "as available", and we exclude all other warranties, conditions and terms implied by statute or common law — including satisfactory quality, fitness for a particular purpose and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free or secure against every attack, that a peer-to-peer connection will be possible on every network, or that it will meet a requirement we have not agreed in writing.
Limitation of liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, and where you use the Service for business purposes:
- we are not liable for loss of profit, revenue, business, contracts, goodwill, anticipated savings, or for loss or corruption of data, or for any indirect or consequential loss, however caused;
- our total liability arising out of or in connection with these terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of the fees you paid us in the 12 months before the claim arose and £100;
- we are not liable for anything done on a Host Machine during a Session, for access you or your users granted, or for the acts of anyone holding a Quick Share link you issued.
You are responsible for maintaining your own backups and business-continuity arrangements appropriate to how much you depend on the Service.
Indemnity
If you use the Service for business purposes, you will indemnify us against claims, losses and reasonable costs arising from your breach of these terms, from your use of the Service in a way section 6 prohibits, or from a third party's claim that your access to a Host Machine was unauthorised.
Confidentiality
Each of us may learn confidential information about the other — your systems and data on our side, our non-public technical and commercial information on yours. Each party will keep the other's confidential information confidential, use it only for the purposes of these terms, and not disclose it except to people who need it and are under equivalent obligations. This does not apply to information that is public through no breach, was already known, or must be disclosed by law.
Export control and sanctions
The Software may be subject to UK, EU and US export control and sanctions law. You confirm that you are not located in, and will not use or export the Software to, a country or a person subject to applicable sanctions, and that you will not use it for any purpose those laws prohibit.
Consumers
The Service is intended for business use. If you are nevertheless a consumer, nothing in these terms affects your statutory rights under the Consumer Rights Act 2015 or other consumer protection law, and the exclusions in sections 15 and 16 apply only so far as the law permits against a consumer.
Where you buy a paid subscription as a consumer at a distance, you normally have 14 days to cancel. By asking us to start the service within that period you accept that you lose the right to cancel once it has been fully performed.
Changes to these terms
We may change these terms as the product and the law change. The version and date at the top show the current text. For a material change we will give account holders at least 30 days' notice by email or in the application; continuing to use the Service after it takes effect means you accept it. If you do not, you may terminate before the change applies.
Governing law and jurisdiction
These terms and any dispute arising out of them, including non-contractual disputes, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident elsewhere in the UK, you may also bring proceedings in your own courts.
We would rather resolve a dispute by talking first. Write to [email protected] and we will engage in good faith before either of us goes to court.
General
- Entire agreement. These terms, the Privacy Policy, the Cookie Policy and any signed agreement are the whole agreement between us on their subject matter.
- Assignment. You may not transfer your rights without our written consent. We may assign or novate ours to a group company or to an acquirer of the business.
- Severability. If a provision is held unenforceable, the rest stands and that provision is applied as far as it lawfully can be.
- No waiver. Not enforcing a right on one occasion does not waive it.
- Third parties. Nobody other than you and us has rights under these terms under the Contracts (Rights of Third Parties) Act 1999.
- Force majeure. Neither party is liable for failure caused by events beyond its reasonable control.
- Notices. Notices to us go to [email protected] or the registered office; notices to you go to the email address on your account.
